("we," "us," or "our"), including but not limited to dforge.ca, Digital Forge Agentic Services, Minerva zkESG, Sulcus, AI Agent Insider, Pheme, and Crazy Shapes (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By creating an account, subscribing to our newsletter, purchasing a product, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You must be at least 16 years of age to use our Services. By using our Services, you represent that you meet this age requirement.

2. Account Responsibilities

We reserve the right to modify, suspend, or discontinue any Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of a Service.

5. Payments and Subscriptions

Certain Services require payment. By purchasing a paid Service, you agree to pay all applicable fees. Payments are processed through Stripe and are subject to Stripe's Terms of Service.

All fees are quoted in the currency specified at the time of purchase
Subscriptions automatically renew unless cancelled before the renewal date
Refund eligibility is determined on a case-by-case basis
We reserve the right to change pricing with reasonable notice

6. Intellectual Property

All content, code, designs, logos, trademarks, and other materials on our websites and within our Services are the property of Digital Forge Studios Inc. or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, or create derivative works from our proprietary materials without written permission
Open source components are licensed under their respective licenses (see individual repositories)
Your use of our Services does not grant you ownership of any intellectual property

If you provide feedback, suggestions, or ideas about our Services, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable license to use such feedback for any purpose.

7. User Content

You retain ownership of any content you submit or upload to our Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide the Services.

You represent that you have all necessary rights to the content you submit and that it does not violate any third-party rights or applicable laws.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. AI-generated content and outputs are provided for informational purposes and should not be relied upon as professional advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Digital Forge Studios Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of (or inability to access or use) our Services
Any conduct or content of any third party on our Services
Any content obtained from our Services
Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Digital Forge Studios Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services or violation of these Terms.

12. Termination

We may terminate or suspend your access to our Services at any time, with or without cause, and with or without notice. Upon termination:

Your right to use the Services will cease immediately
We may delete your account and associated data, subject to our data retention obligations
Provisions that by their nature should survive termination will survive (including intellectual property, limitation of liability, and indemnification)

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or our Services shall be resolved exclusively in the courts located in British Columbia, Canada. You consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of our Services after changes constitutes acceptance of the updated Terms.

15. Severability
